Terms of Service

The agreement between you and Nortshere when you use our website and services.

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of the Nortshere website, platform, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

2. Our services

Nortshere provides (a) tutoring and academic support to learners and institutions, and (b) education-domain AI services — including content evaluation, data annotation, human feedback, linguistic services, and research — to business clients. Some features may be provided by or alongside third-party partners.

3. Eligibility & accounts

  • You must be able to form a binding contract to use the Services. Minors may use tutoring services only with the consent and supervision of a parent, guardian, or institution.
  • You are responsible for the accuracy of the information you provide and for keeping your account credentials secure.
  • You are responsible for all activity that occurs under your account.

4. Acceptable use

You agree not to misuse the Services. Among other things, you will not:

  • Break the law or infringe the rights of others;
  • Upload malicious code or attempt to disrupt, probe, or gain unauthorized access to the Services;
  • Harass, abuse, or harm tutors, contributors, staff, or other users;
  • Scrape, copy, or resell content or data except as expressly permitted;
  • Misrepresent your identity, qualifications, or affiliation.

5. Tutoring & academic integrity

Tutoring is intended to build understanding and skills. It must not be used to complete graded work dishonestly, to sit exams on a student's behalf, or to violate the academic-integrity policies of any school or institution. We may decline or end sessions that breach this principle.

6. Educators & contributors

  • Educators and contributors engage with Nortshere as independent contractors, not employees, unless a separate written agreement says otherwise.
  • You agree to follow project guidelines, perform work honestly, and meet quality and confidentiality requirements.
  • Compensation, eligibility, and task availability are described at the time of each engagement and may vary by project and location.
  • We may withhold or reverse payment for work that fails quality checks or violates these Terms.

7. Clients & AI services

Client engagements for AI content evaluation, annotation, and research are governed by these Terms together with any order form, statement of work, or master services agreement. Unless agreed otherwise, deliverables are provided on an "as delivered" basis subject to the quality processes described to you, and you are responsible for ensuring you have the rights to any data you provide to us.

8. Intellectual property

The Services, including our brand, software, and content, are owned by Nortshere or its licensors and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services for their intended purpose. Ownership of deliverables and client-provided materials is addressed in the applicable client agreement; absent such terms, each party retains its pre-existing intellectual property.

9. Payments & fees

Fees, billing cycles, and refund terms are presented at purchase or in your agreement. You authorize us (or our payment processors) to charge applicable fees and taxes. Late or failed payments may result in suspension of the Services.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any particular academic or model outcome will be achieved.

11. Limitation of liability

To the maximum extent permitted by law, Nortshere and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data. Our total liability for any claim relating to the Services will not exceed the amount you paid to us for the Services in the three (3) months before the event giving rise to the claim.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or for operational reasons. Provisions that by their nature should survive termination (e.g., intellectual property, disclaimers, limitations of liability) will survive.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Nortshere is established, without regard to conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction, except where mandatory local law provides otherwise.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
